Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the Vyaapar.com website, mobile application, or any associated services (collectively, the "Platform"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), along with our Privacy Policy and Refund Policy, which are incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

Vyaapar.com is owned and operated by Vyaapar Technologies ("Company," "we," "us," or "our"), a business entity registered under the laws of India. These Terms constitute a legally binding agreement between you and the Company.

We reserve the right to modify, update, or revise these Terms at any time without prior notice. Your continued use of the Platform after any such changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Definitions

  • "Platform" means the Vyaapar.com website, all subdomains, mobile applications, APIs, and any related services.
  • "User" means any individual or entity that accesses or uses the Platform, including Sellers, Buyers, and Resellers.
  • "Seller" means a registered User who lists products, services, or a business storefront on the Platform.
  • "Buyer" means a registered or unregistered User who browses, inquires, or purchases products/services through the Platform.
  • "Reseller" means a registered User who participates in the Vyaapar referral program.
  • "Content" means all text, images, data, information, listings, reviews, messages, and other materials uploaded or transmitted through the Platform.
  • "Services" means all features, tools, and functionalities provided through the Platform.

3. Eligibility

You must be at least 18 years of age and possess the legal authority to enter into a binding agreement to use this Platform. By using the Platform, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

4.1. To access certain features, you must register an account with accurate, complete, and current information. You agree to update your information promptly if it changes.

4.2. You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You accept full responsibility for all activities that occur under your account.

4.3. You agree to notify us immediately of any unauthorized use of your account or any other security breach. We shall not be liable for any loss or damage arising from your failure to protect your account credentials.

4.4. We reserve the right to suspend, disable, or terminate any account at our sole discretion, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraud, or inactivity.

5. Platform Role and Disclaimer

5.1. Vyaapar.com is an intermediary platform that facilitates connections between Sellers and Buyers. We are NOT a party to any transaction between Users. We do not manufacture, store, sell, distribute, or deliver any products or services listed on the Platform.

5.2. We do not guarantee, endorse, or warrant the quality, safety, legality, accuracy, or availability of any product, service, listing, or Content posted by Users. All transactions are conducted solely between the Seller and Buyer at their own risk.

5.3. We do not verify the accuracy of business information, certifications, licenses, or claims made by Sellers unless expressly stated through our verification badge program, which only confirms identity documentation and does not guarantee business quality or reliability.

5.4. Any ratings, reviews, trust scores, badges, or rankings displayed on the Platform are based on algorithmic calculations and User-submitted data. They are provided for informational purposes only and do not constitute an endorsement, guarantee, or warranty by Vyaapar.com.

6. User Obligations and Conduct

By using the Platform, you agree NOT to:

  • Provide false, misleading, or fraudulent information in your account, listings, or communications.
  • List, promote, or sell products or services that are illegal, counterfeit, stolen, hazardous, or otherwise prohibited by applicable law.
  • Infringe upon the intellectual property rights, privacy rights, or any other rights of third parties.
  • Engage in spam, phishing, harassment, defamation, or any abusive behavior toward other Users or our staff.
  • Manipulate reviews, ratings, trust scores, or any Platform metrics through fake accounts, incentivized reviews, or other fraudulent means.
  • Attempt to circumvent, disable, or interfere with any security features of the Platform.
  • Use automated tools, bots, scrapers, or crawlers to access or collect data from the Platform without our express written permission.
  • Reverse engineer, decompile, or disassemble any part of the Platform.
  • Use the Platform for money laundering, terrorist financing, or any other illegal activity.
  • Transmit viruses, malware, or any other harmful code through the Platform.

Violation of these obligations may result in immediate account suspension or termination, forfeiture of any pending payments, and legal action.

7. Seller-Specific Terms

7.1. Sellers are solely responsible for the accuracy, legality, and completeness of their listings, including product descriptions, pricing, images, availability, and compliance with all applicable laws and regulations (including but not limited to GST, FSSAI, BIS, and other regulatory requirements).

7.2. Sellers warrant that they have all necessary licenses, permits, and authorizations to conduct business and sell the listed products/services.

7.3. Sellers agree to fulfill all orders and inquiries in a timely and professional manner, and to resolve any disputes with Buyers directly and in good faith.

7.4. Sellers grant Vyaapar.com a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, modify, and distribute any Content uploaded to the Platform for the purpose of operating and promoting the Platform and the Seller's storefront.

7.5. Sellers are solely responsible for collecting and remitting all applicable taxes on their transactions.

8. Buyer-Specific Terms

8.1. Buyers acknowledge that all purchasing decisions are made at their own risk and discretion. Vyaapar.com does not guarantee product quality, delivery timelines, or Seller performance.

8.2. Buyers are responsible for verifying Seller credentials, product specifications, and terms before completing any transaction.

8.3. Any payment made directly to a Seller (outside the Platform's payment system, if applicable) is entirely at the Buyer's risk, and Vyaapar.com bears no responsibility for such transactions.

9. Subscription Plans and Payments

9.1. Certain features of the Platform are available only through paid subscription plans. Subscription fees, features, and terms are described on our Pricing page and may change at any time.

9.2. All subscription fees are non-refundable except as expressly stated in our Refund Policy.

9.3. We reserve the right to modify pricing, discontinue features, or change plan structures at any time. Existing subscribers will be notified of material changes affecting their current plan.

9.4. Failure to pay subscription fees may result in downgrade or suspension of premium features.

10. Intellectual Property Rights

10.1. All intellectual property rights in the Platform, including but not limited to the software, design, logos, trademarks, trade names, text, graphics, source code, databases, and all other materials (collectively, "Platform IP"), are and shall remain the exclusive property of Vyaapar Technologies.

10.2. No part of the Platform IP may be reproduced, distributed, modified, displayed, published, transmitted, or used in any form without our prior written consent.

10.3. Users retain ownership of Content they upload but grant Vyaapar.com the license described in Section 7.4.

10.4. If you believe that any Content on the Platform infringes your intellectual property rights, please contact us with a detailed notice including identification of the copyrighted work, the infringing material, and your contact information.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

11.1. VYAAPAR.COM, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use of or inability to use the Platform;
  • Any transactions, dealings, or disputes between Users;
  • Any Content posted by Users, including inaccurate, misleading, defamatory, or illegal Content;
  • Unauthorized access to or alteration of your data or transmissions;
  • Any third-party conduct on the Platform;
  • Product or service quality, safety, legality, or delivery;
  • Loss of data, system failures, or service interruptions;
  • Any reliance on information provided through the Platform;
  • Any other matter relating to the Platform.

11.2. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM EXCEED THE AMOUNT YOU HAVE PAID TO US IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 10,000 (INDIAN RUPEES TEN THOUSAND), WHICHEVER IS LESS.

11.3. THE FOREGOING LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vyaapar.com, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use of the Platform or violation of these Terms;
  • Your Content or listings;
  • Your products, services, or business practices;
  • Any transaction or dispute between you and another User;
  • Your violation of any applicable law, regulation, or third-party rights;
  • Any claim by a third party resulting from your actions on the Platform;
  • Any tax liability arising from your transactions;
  • Any misrepresentation made by you.

This indemnification obligation shall survive the termination of these Terms and your use of the Platform.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY.

WE DO NOT WARRANT THAT:

  • The Platform will be uninterrupted, timely, secure, or error-free;
  • The information or Content on the Platform is accurate, complete, or current;
  • Any defects in the Platform will be corrected;
  • The Platform is free from viruses or other harmful components;
  • Any results obtained through the Platform will meet your expectations.

14. Dispute Resolution

14.1. Between Users: Any dispute arising between Users (Seller-Buyer, Seller-Reseller, etc.) shall be resolved directly between the parties involved. Vyaapar.com may, at its sole discretion, assist in mediation but is under no obligation to do so. Vyaapar.com shall not be a party to any such dispute and shall bear no liability whatsoever.

14.2. Between User and Vyaapar.com: Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator appointed mutually, in the English language, and the seat of arbitration shall be in India.

14.3. Governing Law: These Terms shall be governed by and construed in accordance with the laws of India. The courts located in India shall have exclusive jurisdiction over any disputes.

14.4. Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis only and not as a class, consolidated, or representative action.

15. Termination

15.1. We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

15.2. Upon termination: (a) your license to use the Platform immediately ceases; (b) we may delete your account and all associated data; (c) any outstanding obligations and liabilities incurred prior to termination shall survive.

15.3. Sections 5, 10, 11, 12, 13, 14, 16, and 17 shall survive termination of these Terms.

16. Force Majeure

Vyaapar.com shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, wars, terrorism, riots, epidemics/pandemics, government actions, power failures, internet or telecommunications failures, cyber attacks, or any other event that could not have been reasonably foreseen or prevented.

17. General Provisions

17.1. Entire Agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Vyaapar.com regarding the Platform.

17.2. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17.3. Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

17.4. Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.

17.5. No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Vyaapar.com.

17.6. Notices: All notices to Vyaapar.com shall be sent to our official contact email. Notices to you will be sent to the email address associated with your account.
